1. Agreement to Terms

By accessing or using Market Minded ("Platform", "Service", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Service.

2. Description of Service

Market Minded is an AI-powered e-learning marketplace platform that:

• Enables creators to build and sell educational courses
• Provides AI-assisted course creation tools
• Facilitates payment processing through Stripe Connect
• Hosts course content and student learning experiences
• Offers multi-language support and global accessibility

3. Account Registration

3.1 Eligibility

You must be at least 18 years old or the legal age of majority in your jurisdiction to use this Service. By creating an account, you represent that you meet these requirements.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use.

3.3 Account Types

• Student Accounts: For purchasing and consuming educational content
• Creator Accounts: For creating, publishing, and selling courses
• Platform Accounts: Administrative access (internal use only)

4. Creator Terms

4.1 Content Ownership

Creators retain ownership of their original course content. By uploading content to Market Minded, you grant us a worldwide, non-exclusive, royalty-free license to host, store, and display your content solely for the purpose of operating the Service.

4.2 Content Guidelines

Content must NOT:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Contain harmful, offensive, or discriminatory material
• Include malware, viruses, or malicious code
• Promote illegal activities or violence
• Contain false or misleading information

4.3 Revenue Sharing

Platform fees are based on creator tier:

• Starter Tier: 15% platform fee + Stripe processing fees
• Growth Tier: 12% platform fee + Stripe processing fees
• Pro Tier: 10% platform fee + Stripe processing fees

Payouts are processed weekly via Stripe Connect, subject to trust tier holding periods (7-21 days).

5. Student Terms

5.1 Course Purchases

All course purchases are final unless otherwise stated. Access to purchased courses is granted immediately upon successful payment. Bundle purchases include access to all courses within the bundle.

5.2 Refund Policy

Refunds may be available within 30 days of purchase if:

• Less than 20% of course content has been consumed
• The course materially differs from its description
• Technical issues prevent course access (after support attempts)

5.3 Usage Restrictions

Students may NOT:

• Share account credentials or course access
• Download, copy, or redistribute course content
• Use automated tools to access content
• Resell or sublicense course materials

6. Payment Terms

6.1 Payment Processing

All payments are processed securely through Stripe. We do not store credit card information on our servers. Multi-currency support is available for USD, EUR, and GBP.

6.2 Taxes

Prices may not include applicable taxes. You are responsible for paying any taxes related to your purchases or earnings, as required by your jurisdiction.

6.3 Chargebacks and Disputes

Excessive chargebacks or payment disputes may result in account suspension. Creators are responsible for chargeback fees on their transactions.

7. AI Services

7.1 AI-Generated Content

Our AI agents (Sam, Maya, Alex, Jordan, Casey, Morgan, Riley) provide assistance in course creation. AI-generated content should be reviewed and edited by creators before publication. Creators are responsible for the accuracy and quality of all published content.

7.2 Usage Limits

Daily AI usage limits apply based on tier:

• Starter: $5/day Claude API usage
• Growth: $15/day Claude API usage
• Pro: $50/day Claude API usage

8. Intellectual Property

8.1 Platform Content

The Market Minded platform, including its design, features, and functionality, is owned by Market Minded and protected by intellectual property laws.

8.2 DMCA Compliance

We respect intellectual property rights and will respond to valid DMCA takedown notices. To report copyright infringement, contact: legal@marketminded.com

9. Privacy and Data Protection

Your use of our Service is also governed by our Privacy Policy. We implement database isolation per creator, ensuring complete data separation and security.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MARKET MINDED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims under these Terms shall not exceed the greater of $100 USD or the amounts paid by you to Market Minded in the past six months.

11. Indemnification

You agree to indemnify and hold harmless Market Minded, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service or violation of these Terms.

12. Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms. You may terminate your account at any time through account settings. Upon termination:

• Students retain access to purchased courses
• Creators receive final payout for pending earnings
• Personal data is handled per our Privacy Policy

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email or platform notification at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance of the modified Terms.

14. Governing Law and Disputes

These Terms shall be governed by the laws of Delaware, United States, without regard to its conflict of law provisions. Any disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules.
